Zanaco Plc is inviting applications from suitably qualified and experienced individuals with relevant experience for the following job aimed at contributing to the Bank’s strategic vision, in the Company Secretary & Legal Division under the Legal Department in the Litigation & Legal Advisory Section at Zanaco Plc Head Office:

HEAD LITIGATION & LEGAL ADVISORY (X1)

JOB PURPOSE

To assist the Chief Legal Officer and Company Secretary in the management of the Legal function in the Bank within regulatory requirements and legal standards consistent with supporting the Bank’s strategic direction and growth aspirations.

Under the supervision of the Chief Legal Officer & Company Secretary, the following are among the Job Key Responsibilities: –

  • Management of the outsourced Legal matters
  • Coordination and Supervision of external Counsel and Witnesses
  • Tracking and maintain status record of all matters
  • Management of external legal relationships on all matters concerning litigation
  • Preparation of originating court documents/Reponses for matters to be managed by the Bank
  • Preparation and attendance to Chamber applications and trial for matters to be managed by the Bank
  • Preparation and attendance to Appeals for matters to be managed by the Bank
  • Preparation and filing of submissions for matters to be managed by the Bank
  • Provision of support to the Credit and HR Functions on matters in court
  • Management of outsourced opinions and maintenance of status records
  • Preparation of internal opinions
  • Provision of Legal advice to the Bank
  • Provision of corporate legal services to the Bank
  • Identification and management of Legal Risk and provision of advice on mitigatory measures to be taken
  • Train or recommend training of identified members of staff on Legal Risks identified
  • Oversee the communication of changes in local laws to all relevant stakeholders
  • Supervise the Securities Management and Credit Support Function
  • Supervise the Contract Management and Business Units Support
  • Supervise the Legal Process Management Function
  • Develop and manage the Legal Policy
  • Preparation of Legal Reports to the Board Risk Committee and Board Credit Committee to be presented by Co Sec
  • Preparation and presentation of Legal Report to the Governance Risk and Compliance Committee to be presented by Legal Head
  • Provision of Bank-wide legal advisory services that may not be outsourced
  • Attendance of Management Tender Committee meetings (MTC), Management Credit Committee meetings (MCC) and Products Advisory Committee (PAC) meetings
  • Any other responsibilities as may be assigned by management.

INTERNAL/EXTERNAL CONTACT

  • External: Local Regulators on statutory matters, Lawyers and Legal bodies/institutions
  • Internal: All Divisions

QUALIFICATIONS AND EXPERIENCE

·        Grade 12 Credit or above mandatory in Mathematics and English and any other three subjects

·        Degree in Law with a master’s degree in Commercial Law or related field as an advantage

·        At least ten (10) years’ experience in the regulatory field and/or equivalent legal experience

·        Legal Practitioners Practicing Certificate

·        Strong understanding of corporate law practices

·        Strong understanding of the banking regulatory environment

·        Understanding of applicable legislation and standards

·        Proven ability to establish relationships and exert influence at senior management level, regulators and external stakeholders
